Seller Agreement

This Seller Agreement ("Agreement") governs participation by sellers ("Vendor", "you", or "your") on himaligreen.com ("Marketplace", "we", "our", or "us").

By registering as a Vendor, listing products, or otherwise using seller services provided by the Marketplace, you agree to be bound by this Agreement.

If you do not agree to this Agreement, you may not sell products through the Marketplace.

1. Relationship of the Parties

The Marketplace operates as a multi-vendor platform connecting independent sellers with customers.

The Vendor acts as an independent business and is not an employee, agent, partner, joint venturer, franchisee, or representative of the Marketplace.

The Vendor is solely responsible for:

  • Products offered for sale;
  • Product quality;
  • Product legality;
  • Product descriptions;
  • Pricing;
  • Inventory management;
  • Warranties offered to customers;
  • Compliance with applicable laws.

The Marketplace acts only as a facilitator of transactions unless otherwise expressly stated.

2. Vendor Eligibility

To sell through the Marketplace, you must:

  • Be legally authorized to conduct business;
  • Provide accurate registration information;
  • Provide valid contact information;
  • Provide any documentation reasonably requested by the Marketplace;
  • Comply with all applicable laws and regulations.

The Marketplace may approve or reject vendor applications at its sole discretion.

3. Vendor Account

You are responsible for:

  • Maintaining account security;
  • Protecting login credentials;
  • Ensuring account information remains accurate;
  • Activities conducted under your account.

You must promptly notify the Marketplace of unauthorized access or suspected security incidents.

4. Product Listings

You may create and manage product listings through the Marketplace.

You are solely responsible for ensuring that:

  • Product information is accurate;
  • Product images accurately represent products;
  • Pricing is accurate;
  • Inventory information is current;
  • Products comply with applicable law;
  • Products do not infringe third-party rights.

The Marketplace may remove, restrict, suspend, or reject listings at its discretion.

5. Ownership of Product Data

The Vendor retains ownership of all product-related content submitted to the Marketplace, including:

  • Product names;
  • Descriptions;
  • Images;
  • Specifications;
  • Pricing information;
  • Product attributes;
  • Marketing content.

The Marketplace does not claim ownership of Vendor product content.

The Vendor grants the Marketplace a worldwide, non-exclusive, royalty-free license to:

  • Display;
  • Reproduce;
  • Store;
  • Process;
  • Distribute;
  • Promote;

such content solely for purposes related to operation, promotion, and administration of the Marketplace.

6. Removal of Product Data

Vendors may remove product listings at any time.

However:

  • Existing customer orders may continue to be processed;
  • Historical transaction records may be retained;
  • Copies may remain in backups, archives, audit systems, and compliance records.

The Marketplace may retain information necessary for:

  • Legal compliance;
  • Accounting;
  • Fraud prevention;
  • Security;
  • Dispute resolution;
  • Operational continuity.

7. Vendor Data Deletion Requests

A Vendor may request deletion of its account and associated personal information by contacting the Marketplace via email.

Subject to legal, accounting, fraud-prevention, security, operational, and dispute-resolution requirements, the Marketplace will aim to process such requests within ninety (90) days.

Certain information may be retained where required by law or legitimate business necessity.

8. Product Availability

Vendors must maintain reasonable inventory accuracy.

If a product becomes unavailable after purchase:

  • The Vendor must promptly update inventory records;
  • The Vendor must promptly notify the Marketplace;
  • The Vendor may be required to cancel affected orders.

Repeated inventory inaccuracies may result in penalties, restrictions, or account suspension.

9. Vendor Acceptance of Orders

Certain orders may require Vendor acceptance before fulfillment.

The Vendor agrees to review pending orders promptly.

The Vendor may:

  • Accept an order;
  • Reject an order for legitimate reasons.

Vendors must not unreasonably reject orders.

Repeated rejections may result in account review or restrictions.

10. Prepayment Products

The Marketplace may permit Vendors to designate products as requiring prepayment.

Products marked as requiring prepayment may not be eligible for Cash on Delivery purchases.

The Marketplace may enforce payment restrictions necessary to support prepayment requirements.

The Vendor acknowledges that payment processing decisions are controlled by Marketplace systems.

11. Pricing

The Vendor is responsible for setting product prices.

The Vendor must not:

  • Manipulate prices deceptively;
  • Publish misleading pricing;
  • Use false discounts;
  • Engage in unfair commercial practices.

The Marketplace may remove listings that violate these requirements.

12. Delivery and Fulfillment

The Vendor agrees to:

  • Package products appropriately;
  • Prepare shipments promptly;
  • Cooperate with logistics providers;
  • Provide accurate shipment information.

The Vendor acknowledges that logistics services may be performed by independent third parties.

Delivery times are estimates only.

13. Return and Exchange Policies

The Marketplace establishes the following minimum return standard:

Returns are accepted only when products are:

  • Damaged;
  • Defective;
  • Incorrectly supplied.

Return requests must generally be initiated within seven (7) days after delivery.

The Marketplace primarily supports exchanges rather than refunds unless required by law or otherwise approved.

14. Vendor Return Shipping Policy

Each Vendor must select one of the following return-shipping arrangements:

Option 1:

Seller pays return shipping.

Seller pays exchange shipping.

Option 2:

Buyer pays return shipping.

Seller pays exchange shipping.

Option 3:

Buyer pays return shipping.

Buyer pays exchange shipping.

The Vendor agrees to honor the policy selected at the time the customer places an order.

The selected policy may not be retroactively changed for existing orders.

15. Customer Return Requests

Customers are responsible for contacting the Vendor regarding eligible returns and exchanges.

The Vendor agrees to:

  • Respond within a reasonable period;
  • Process valid requests fairly;
  • Comply with the selected return policy.

Failure to honor return obligations may result in enforcement action by the Marketplace.

16. Seller Contact Information

The Vendor acknowledges and agrees that:

  • The Vendor's marketing telephone number may be displayed publicly;
  • If no marketing telephone number is provided, the Vendor's primary business telephone number may be displayed publicly.

Such information may appear on:

  • Product pages;
  • Seller profiles;
  • Customer communications;
  • Order-related interfaces;
  • Other Marketplace features.

The Vendor authorizes the Marketplace to publish such contact information for customer support and transaction purposes.

17. Seller-Initiated Cancellations

The Vendor should avoid cancelling accepted orders except where necessary.

The Vendor may request cancellation of orders or shipments that have not yet been delivered.

Where delivery has already commenced:

  • Shipping charges may remain payable;
  • Return-shipping charges may apply;
  • The Vendor may become liable for logistics-related expenses.

The Marketplace may create records documenting such cancellations and associated charges.

18. Undeliverable Orders

If a customer refuses delivery, cannot be contacted, or otherwise causes delivery failure:

  • The shipment may be returned to the Vendor;
  • The Marketplace may coordinate return logistics;
  • Applicable logistics charges will be allocated to the vendor.

The Vendor acknowledges that customer account actions are determined solely by the Marketplace.

19. Vendor Fees and Payouts

The Marketplace may charge:

  • Commission fees;
  • Subscription fees;
  • Transaction fees;
  • Service fees;
  • Other disclosed charges.

The Marketplace may deduct applicable amounts before releasing Vendor payouts.

Payout schedules and methods may be established separately.

20. Taxes

The Vendor is solely responsible for:

  • Taxes applicable to its business;
  • Tax registrations;
  • Tax filings;
  • Tax reporting obligations.

The Marketplace does not provide tax advice.

21. Prohibited Products and Activities

The Vendor must not list:

  • Illegal products;
  • Counterfeit products;
  • Stolen goods;
  • Products that infringe intellectual property rights;
  • Fraudulent offerings;
  • Products prohibited by Marketplace policies.

The Marketplace may remove prohibited products immediately.

22. Compliance with Laws

The Vendor agrees to comply with all applicable laws, regulations, licensing requirements, consumer-protection rules, and product-safety requirements.

The Vendor is solely responsible for obtaining required permits and approvals.

23. Intellectual Property Infringement

The Vendor represents and warrants that all listings, trademarks, images, text, and other content submitted to the Marketplace:

  • Are lawfully owned or licensed;
  • Do not infringe third-party rights.

The Vendor agrees to indemnify the Marketplace against claims arising from infringement.

24. Suspension and Termination

The Marketplace may suspend, restrict, or terminate Vendor accounts if:

  • This Agreement is violated;
  • Fraud is suspected;
  • Excessive customer complaints occur;
  • Products violate Marketplace policies;
  • Legal or operational risks arise.

The Marketplace may remove listings immediately where necessary.

25. Limitation of Liability

To the maximum extent permitted by law, the Marketplace shall not be liable for:

  • Lost profits;
  • Lost sales;
  • Business interruption;
  • Indirect damages;
  • Consequential damages;
  • Actions of customers;
  • Actions of logistics providers;
  • Actions of payment processors.

Nothing in this Agreement excludes liability that cannot legally be excluded.

26. Indemnification

The Vendor agrees to defend, indemnify, and hold harmless the Marketplace and its affiliates against claims, liabilities, losses, costs, damages, and expenses arising from:

  • Products sold by the Vendor;
  • Product defects;
  • Product safety issues;
  • Regulatory violations;
  • Intellectual property claims;
  • Violations of this Agreement.

27. Modifications

The Marketplace may modify this Agreement from time to time.

Updated versions will be published on the Marketplace.

Continued use of seller services after publication constitutes acceptance of revised terms.

28. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Nepal.

30. Entire Agreement

This Agreement, together with the Privacy Policy, Data Rights Request Policy, Acceptable Use Policy, Refund, Return & Cancellation Policy, commission schedules, and other Marketplace policies, constitutes the entire agreement between the Vendor and the Marketplace regarding seller participation.
